Terms and Conditions for Fund Management Services
1. Introduction
1.1 These Terms and Conditions ("Terms") govern the relationship between TYL Capital ("Company", "we", "our", or "us") and the client ("Client" or "you") in relation to the fund management services provided by our fund managers.
1.2 By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services Provided
2.1 The Company provides investment management services through a network of fund managers employed or associated with us. These services are provided based on the investment strategy and objectives outlined in the investment management agreement ("Agreement").
2.2 The Company will exercise reasonable skill, care, and diligence in managing investments but does not guarantee specific results or returns from the fund managers' performance.
3. Performance and Risk
3.1 The Company and its fund managers make no guarantee regarding the performance of your investments or the achievement of any specific investment objectives.
3.2 All investments involve risk, and past performance is not indicative of future results. The value of investments can fluctuate, and there is no assurance that investment objectives will be met.
4. Limitation of Liability
4.1 To the maximum extent permitted by law, the Company shall not be liable for any losses, damages, or expenses incurred by you as a result of the performance or lack of performance by any fund manager.
4.2 You acknowledge and agree that the Company shall not be liable for any loss of profits, consequential damages, or any other indirect or special damages arising out of or related to the services provided by our fund managers.
5. No Guarantees
5.1 The Company does not provide any guarantee or warranty regarding the future performance or profitability of any investment strategy or financial instrument managed by its fund managers.
5.2 You acknowledge that investment outcomes can vary and that there is no assurance that capital will be preserved or that investment returns will be achieved as expected.
6. Indemnification
6.1 You agree to indemnify and hold harmless the Company, its officers, directors, employees, and fund managers from any claims, liabilities, damages, or expenses, including legal fees, arising out of or related to your use of our services or any breach of these Terms.
7. Termination
7.1 Either party may terminate the Agreement at any time with written notice as specified in the Agreement.
7.2 Upon termination, the Company shall cease all investment management activities and provide you with a statement of your account as of the termination date.
8. Amendments
8.1 The Company reserves the right to modify these Terms as necessary. Any changes will be communicated to you, and continued use of our services after such modifications constitutes acceptance of the revised Terms.
